Terms of Service

These terms are an agreement between the business that creates a Keystonne OS account ("you") and Kerning Design LLP ("we", "us") — a limited liability partnership incorporated in India under the Limited Liability Partnership Act, 2008.

Kerning Design LLP operates the product described here as Keystonne OS. Keystonne is a brand registered to Vibhas Singh; the service is operated by Kerning Design LLP, which is the party you contract with under these terms. By creating an account you accept these terms on your business's behalf.

What Keystonne OS is

Keystonne OS is restaurant management software: billing and POS, kitchen display, inventory, credit (house-account) records, online ordering, and reports — including a double-entry view of your operations.

One important boundary: Keystonne OS is your *operational* record, not your statutory books of account. The product produces exports for your accountant and your filings, but your GST returns, income-tax filings and statutory books remain your responsibility, prepared in the tools your accountant certifies. We work hard to compute taxes correctly on every bill; the legal duty to file correctly stays with you.

Your account and your team

You must be at least 18 and authorized to represent the business when creating a workspace and accepting these terms. Do not make a false eligibility declaration. The declaration is not independent verification of your age. Report suspected under-18 workspace creation or unauthorized children's data to the contact below; our Privacy Policy explains how we handle those reports.

You are responsible for the accuracy of what your business enters — menu prices, tax classes, GSTIN and registration type, customer records — and for the people you give access to. Keep credentials and manager PINs private. Tell your staff and customers what you store about them (see the Privacy Policy).

Pricing, tax and refunds

During the free launch period the product is free for the advertised window, after which the published pricing applies. We will always tell you inside the product before anything starts costing money. Prices are on the pricing page.

Prices are exclusive of GST. GST is charged at the rate applicable to the service, and Kerning Design LLP issues a tax invoice under its GST registration for every charge.

A charge can be refunded within the window set out in the Refund & Cancellation Policy, which forms part of these terms.

How the service is delivered

Keystonne OS is delivered electronically. There is nothing to ship: access is provisioned to your account as soon as it is created, and stays available for as long as your subscription is active.

Acceptable use

Don't use Keystonne OS to break the law — including issuing tax documents you know to be false, storing data about people you have no business relationship with, or attempting to access another business's data. We may suspend accounts that do.

Only upload or publish material that you own, are licensed to use, or may otherwise lawfully use. Private storage does not establish copyright permission.

Copyright notices

Send copyright concerns to our existing support contact, Kerning Design LLP, at support@keystonne.in, with the subject "Copyright notice", or by post to the registered office below. Listing this contact does not assert that a DMCA agent designation is registered or that every use of the service qualifies for a US safe harbour.

To help us locate and assess a claim, include:

• Your name, postal address, phone number and email, and whether you act for the rights holder.
• The copyrighted work, or a representative list if the notice covers multiple works.
• The precise location of the disputed material, such as its URL and the relevant restaurant, plus enough detail to locate it. Do not obtain access to a private account without permission.
• A statement that you believe in good faith the use is not authorized by the rights holder, their representative or the law.
• Confirmation that the information is accurate and, under penalty of perjury for a US DMCA notice, that you are authorized to act for the holder of the allegedly infringed exclusive right.
• Your physical or electronic signature.

We review notices, seek missing information when needed, and act expeditiously on valid claims by removing or restricting access to the identified material where appropriate. We notify the affected account when lawful and practicable. A notice does not by itself prove infringement. We may share the notice and contact details with the affected account and our advisers as necessary to assess or resolve it; do not include unrelated personal data.

Counter-notices

If your material was removed or restricted by mistake, reply to our notification or email support@keystonne.in with the subject "Copyright counter-notice". Identify the material, its previous location, the notice reference, and why you believe removal was mistaken. Include your name, postal address, phone number and physical or electronic signature.

For a US DMCA counter-notice, include a statement under penalty of perjury that you believe in good faith the material was removed or disabled through mistake or misidentification. State your consent to the Federal District Court's jurisdiction for the district of your address, or, if outside the United States, any district where the service provider may be found, and your willingness to accept service of process from the original complainant or their representative. A counter-notice can have legal consequences; obtain advice if you are unsure whether to submit one.

Where the US statutory counter-notice process applies, we forward a valid counter-notice to the complainant and ordinarily restore access between 10 and 14 business days after receiving it, unless our copyright contact receives notice that the complainant has filed a court action seeking to restrain the infringement. Other legal orders or independently applicable restrictions may still prevent restoration; we will explain the relevant basis. We do not treat an appeal as permission to disclose another restaurant's private data.

Repeat infringement

In appropriate circumstances, we terminate accounts of repeat infringers after reviewing the evidence, prior decisions and any counter-notices. We may restrict specific uploads while a claim is reviewed. We do not delete required fiscal records merely because an uploaded image is disputed. False claims and deliberate misrepresentations may carry legal consequences.

Availability and your data

We aim for the product to be dependable — the till keeps working offline and syncs when the connection returns — but we do not promise uninterrupted availability. Your data is yours: you can export your records at any time from the Export centre, and if you leave we will make your data available for export for a reasonable winding-down period before deletion.

Liability

To the extent Indian law permits, our liability for any claim arising from the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect losses, or for filings and business decisions made on top of the records you keep in the product.

Ending the agreement

You can stop using Keystonne OS and ask for account deletion at any time. We can terminate accounts that break these terms, with notice where practicable.

Governing law

These terms are governed by the laws of India. The courts at Lucknow, Uttar Pradesh have exclusive jurisdiction.

Changes

When these terms change we will update the date above and, for material changes, tell you in the app before they take effect.
